GENERAL TERMS & CONDITIONS 4P SQUARE d.d. 24/05/2018 – English version

Article 1   Definitions

1.1. Within the context of these General Terms & Conditions, the following terms and concepts, when stated with a capital letter, shall assume the following meaning, unless their interpretation is explicitly stated to be otherwise:

(a) Services/Service provision: the services that can be provided by 4P square and which may consist in the carrying out of Assignments pertaining to corporate strategy, marketing, sales, business development, Client management, and innovation, and this in a strategically, executory, and managerial function, case pertaining, as well as in any other service provision which 4P square might or could decide to offer to its Clients;

(b) Assignment: the specific task assigned by the Client to 4P square and pertaining to the provision of certain specified services, as well as the text that determine the special conditions for the Assignment;

(c) General Terms & Conditions: these terms & conditions, inclusive of the attachments accompanying it, and which form an integral part thereof, plus all future additional addendums as the case may be;

(d) Business day: refers to the days Monday through Friday, excluding Belgian public holidays;

(e) Working hours: refers to the working hours that are standard practice for employees with the Client during business days, or, in the absence thereof, specifically the hours from 09:00 am to 1:00 pm, and from 2:00 pm to 6:00 pm CET during Business days;

(f)  4P square: with 4P square there’s intended the company 4P square Corporate NV and its subsidiary companies.

Article 2   General

2.1. The present General Terms & Conditions governs the terms & conditions and modalities pertaining to the rendition of services by 4P square to the Client. They prevail on the general and particular terms & conditions of the Customer, on whatever document mentioned.

2.2. Each Assignment is made in writing and signed by both Parties before the start date of the Assignment. Where appropriate it is part of the frame agreement with the Customer. Assignments remain to their complete suspension submitted to the provision of the current General Terms & Conditions. In case of contradiction between the particular provisions of the Assignment or of the frame agreement and these General Terms & Conditions the particular provisions of the Assignment and the frame agreement prevail. In case of contradiction between the particular provisions of the order and the frame agreement the particular provision of the Assignment prevail.

Article 3   Duration of the assignments

3.1. The Assignment, it shall be agreed between the Parties whether a definite duration for its execution is to be established or whether the Assignment shall be undertaken for an indefinite term. 4P square shall make every reasonable effort to abide, case pertaining, by the predefined deadlines and dates as obtain. Both parties shall be entitled to terminate Assignments of indefinite duration subject to one (1) month’s notice by registered letter to that effect.

3.2. All delivery deadlines stated by 4P square shall be determined on the basis of the data that on acceptance of the Assignment in question are known to 4P square and are indicative in that sense. 4P square shall not be bound by delivery terms that, as a result of circumstances occurring following the acceptance of the Assignment, can no longer be met. More specifically, 4P square cannot be held liable for delayed deliveries as a result of a given action or of an omission or failure on the part of the Client.

3.3. In the event that the estimated delivery term is likely to be exceeded, 4P square shall inform the Client accordingly as soon as possible and, together with the latter, decide on what action(s) to take.

Article 4   Extension and expansion of assignments

4.1. Assignments can either wholly or partially be extended or expanded by mutual consultation between the Parties. Such extensions or expansions shall be specified in an addendum relevant to the Assignment in question. In the event that the expansion is of such an extent – by its nature, size, or otherwise – as to constitute an Assignment on its own, it shall become the subject of a separate Assignment with its own specific conditions.

4.2. The Client shall communicate his intention to extend or expand the Assignment by means of a written notice to that effect addressed to 4P square, at the latest one (1) month prior to the (estimated) termination date of the Assignment, in default of which 4P square cannot guarantee continuity. In any event, 4P square cannot guarantee that the identical consultant(s) will be in charge of the execution of the extended or expanded Assignment.

4.3. Unless otherwise determined in the relevant Assignments, the same conditions and modalities shall be in effect during the extension or expansion as those that were in force for the original Assignment.

Article 5   Premature termination of assignments

5.1. Irrespective of the provisions in Article 14, the premature termination of an Assignment requires compliance with a cancellation term of one (1) month and needs to be communicated by registered letter. In any event, the Client shall be required to fully pay for the services rendered and, likewise, 4P square must be indemnified for lost profit and extra costs incurred. This indemnity is to be established at a fixed amount equal to fifty percent (50%) of the fee that should have been paid by the Client if the Assignment had not prematurely been terminated.

Article 6   Fees for services rendered

6.1. Fees for the execution of the Assignments within the context of these General Terms & Conditions and the manner of the settlement are made in writing. The Client unconditionally undertakes to pay the fees on the dates as provided for in the relevant Assignment. Prompt and timely payment shall be considered an essential condition in these General Terms & Conditions.

6.2. For fees that are expressed on a per diem basis, a day shall be equal to eight (8) work hours. In the event that data needed for the proper execution of the Assignment are not made available to 4P square, or are provided late, or prove not conform to the agreements reached, or in case the Client gives wrong instructions or in some other ways fails to abide by his obligations, this may lead to a suspension of the execution of the Assignment. Also, and in consequence thereof, extra hours, days, or costs may be charged in keeping with the customary commercial conditions in effect at 4P square at that time and as stated in the relevant Assignment, even in excess of the agreed upon fixed price.

6.3. The fees for the performance of activities that are not provided for or are not included in the price agreed upon for the provision of the services, shall be calculated on the basis of the commercial conditions and rates that are in effect at that time.

6.4. Transportation between home and the Client’s workplace shall be included in the daily fee, unless agreed to otherwise in the relevant Assignment. Other travel and accommodation costs incurred within the context of the execution of the Assignment shall, in principle, be charged through at cost. For what concerns transportation using one’s own vehicle, the kilometre allowance shall be defined in the relevant Assignment.

6.5. Transportation between home and the Client’s workplace shall be included in the daily fee, unless agreed to otherwise in the relevant Assignment. Other travel and accommodation costs incurred within the context of the execution of the Assignment shall, in principle, be charged through at cost. For what concerns transportation using one’s own vehicle, the kilometre allowance shall be defined in the relevant Assignment.

6.6. In principle, costs to be incurred shall be submitted in advance to the Client for his approval, unless such an advance approval is not requested or may reasonably be considered unnecessary given the negligible monetary amount involved. In any event, the consultant shall maintain detailed cost statements in justification of all his incurred expenses, whether approved in advance or not.

6.7. All stated fees are exclusive of VAT and similar taxes. Such taxes shall be paid by the Client.

Article 7   Invoicing

7.1. Services rendered will be billed monthly. All invoices need to be paid cash of invoice date, unless another agreement was made. Payment shall be without discount, compensation, or suspension or deferment for whatever reason, unless stated otherwise on the invoice.

7.2. In the event that the Client fails to pay the amounts owing within the agreed upon term, the latter shall, de iure and without the need for a notice of default, become liable for the payment of a ten percent (10%) interest/year on the outstanding amount, inclusive of VAT. In case the Client fails, after eight (8) days following the dispatch of a default notice, to positively respond to the request for payment, he shall further become de iure liable for the payment of a fixed and conventionally determined indemnity for his default, and this in the amount of ten percent (10%) calculated on the total amount owing on the invoice in question, inclusive of VAT, with a minimum charge of € 125. In the event of an extra-judicial claim, it shall be incumbent on the Client to pay the costs incurred as a result of this claim, which shall be established at fifteen percent (15%) of the total amount of the Assignment. The Client shall further be held liable for the payment of all court costs incurred by 4P square as a result of the latter’s action to collect the amount outstanding and owing.

7.3. 4P square reserves the right to suspend its services for as long as no payment of the outstanding amount has been received and will interpret non-payment of two amounts owing as a serious instance of default in the sense of Article 14.1.

Article 8   Personnel

8.1. 4P square shall assess the competences that are required to realize the objectives of the Assignment and – in consultation with the Client – designate the personnel that will be charged as consultant(s) with the execution of the Assignment.

8.2. The provision of services may either wholly or partially be rendered by personnel of 4P square and by any of its associated companies, as the case may be, or the Assignment may be sub-contracted to independent consultants that are selected by 4P square, and this in consultation with the Client. Every reference to personnel employed by 4P square also refers to personnel employed by its associated companies and to independent consultants.

8.3. In keeping with the (technical) specifications of the service provision and the applicable labour regulations, the Parties shall reach agreement on all needed practical provisions such as, but not limited to, guidelines regarding the access to the premises of the Client and access to and the use of the documentation required for the performance of the Services, their personnel’s work schedules or anticipated absences for reasons of vacations or professional training. In that regard the Client may, in case services are provided inside the latter’s office premises, give the necessary instructions to the 4P square personnel on the subjects of well-being in the workplace, safety and other relevant procedures, work and rest times, and the execution of the agreed upon work activities. Notwithstanding the above, no or none of the 4P square consultant(s) shall operate under the authority, management, or supervision of the Client.  If required, the practical agreements in casu shall be set down in the special conditions of the relevant Assignment.

8.4. Each party shall in any case remain responsible for the supervision, the direction, and the work schedule of its own personnel and for any and all commitments relating to the employment agreements with such personnel.

8.5. In the event that the Client should express the opinion that one or more of the designated consultants are performing below standard in the job, he shall without delay inform 4P square accordingly in writing with full explanation of his concerns. 4P square shall immediately try to respond to such reasonable comments in order to remedy the situation. On receipt of a second, fully reasoned notice of default, dispatched after an interim term of at least two (2) weeks and judged to be justified, 4P square shall make every effort to replace its consultant(s) as soon as possible by (an) other consultant(s) with equivalent qualifications.

Article 9   Prohibition on personnel raiding

9.1. Parties undertake to refrain from engaging, either directly or indirectly, in the raiding of personnel, or the appointment as contracting partner of any and all employees of the other party (in the broadest sense of the word), even when the initiative for such employment is initiated by the employee himself or herself, unless with prior written consent from the other party as it relates to a specific collaborator. Parties likewise undertake not to interfere, in whatever way, in the relationship that exists between the other party and its employees. This clause shall remain in force for the entire duration of the Assignment, as well as during twenty-four (24) months subsequent to its termination or in case a consultant was presented to the Client without assignment as result, during twenty-four (24) months subsequent to the presentation of the consultant.

9.2.  The present prohibition does apply not only to the Parties but also to the (other) (legal) entities – for which the Parties assume responsibility – that are either directly or indirectly associated with them.

9.3. In the event that one of the Parties fails to remain in compliance with the above prohibition, or does not enforce compliance therewith, such party shall indemnify the other party:

(a) For the recruitment, selection, and training costs through payment of a fixed compensation to the other party that is equal to the fixed amount of 30.000 euro.

(b) In addition, for the commercial loss and damage suffered by 4P square, in case the engagement or appointment of the employee in question as contracting partner occurs in the course of the Assignment, through payment of an indemnity that is estimated at a fixed compensation of fifty percent (50%) of the remaining and as yet unbilled part of the Assignment fee.

Article 10   Orders placed with third parties

In the event that, within the context of an Assignment, 4P square is required, upon request and/or with the Client’s prior consent, to procure products or services from third parties other than the services of 4P square’s independent consultants (who shall, conform to Article 8 be deemed to be 4P square personnel), such orders shall be placed in the Client’s name and for his account and they shall in no wise whatsoever be binding on, or commit, 4P square. All payments for such services must be made directly by the Client, so that no (pre)financing must be expected from 4P square, other than with its explicit consent and on payment by the Client of a mark-up of 15% to 4P square.

Article 11   Liability

11.1. 4P square undertakes to render the services related to the Assignment in question to the best of its ability and know-how, in a professional manner and according to best practices and state of the art and taking into account the relevant applicable regulations and stipulations in force. 4P square and the Client are explicitly agreed that the commitment which 4P square undertakes is an engagement to commit means and resources and not a commitment guaranteeing results. 4P square cannot guarantee that decisions taken by the Client on the basis of advisories furnished by 4P square will indeed have the anticipated or desired result.

11.2. 4P square states and declares to be in compliance with its obligations regarding social security, vat, and taxation requirements. Moreover, 4P square declares to have taken out a legally required insurance policy against occupational accidents, as well as against third party liability. On request from the Client, attestations issued by the competent offices in casu can be presented.

11.3. 4P square shall provide its services in close cooperation and consultation with the Client and keep the latter abreast of all of its activities and experiences that relate to an Assignment. Conversely, 4P square expects to be kept fully and correctly informed by the Client of all developments and data that could or might prove useful and important to and in the execution of the Assignments and to grant 4P square his full cooperation in their execution.

11.4. Except in instances of deliberate intent or severe error on its part, 4P square cannot be held liable for any damage or loss that is the direct or indirect result of the performance and execution of an Assignment. 4P square, its personnel and independent consultants, collaborators, or sub-contractors are insured nonetheless against professional liability up to 500.000 euro per claim/year. In any event, any damage claim against 4P square shall remain limited to the amount of the fee that 4P square received as honorarium for the Assignment in question.

Article 12   Assignment of (intellectual) rights

12.1. Irrespective of what is stated in Article 14.1, 4P square shall assign to the Client title of ownership and – in so far as 4P square develops within the context of the execution of this Assignment creations that are protected by its right to their intellectual ownership – likewise the intellectual right to whatever material or immaterial items 4P square delivers or realises.

12.2. In consequence thereof, the Client shall be legally entitled to use the materials delivered in final form by 4P square in execution of the assignment, to copy, re-dispatch, distribute, disseminate, sell, publish, transmit them, or have them circulated, for both internal as well as for external (commercial advertising, merchandising) purposes, in whatever possible way and in whatever possible shape or form.

12.3. 4P square waives its right to integrity and its right to lodge objections to adaptations and upgrades, in so far as such adaptations and upgrades do not compromise the honourable reputation and the image enjoyed by 4P square.

12.4. To avoid all misunderstanding and controversy, no rights shall be assigned in any way whatsoever to 4P square names, logos, trademarks, and service marks on products that have been delivered by the said company. Neither shall any intellectual or other property right be transferred regarding methods, processes, structures or other underlying elements that are not specifically created for the Client but are, in a more general manner, part of the business of 4P square.

Article 13   Absence of exclusivity

The granting of the rights in the sense of Article 12 shall in no wise restrict 4P square’s right to accept similar Assignments, even from enterprises that conduct business in competition with the Client. In consequence, 4P square shall in no wise whatsoever grant any form of exclusivity to the Client. Case pertaining, 4P square shall make every conceivable effort to guarantee the confidentiality of all information she has received and of which she has obtained cognizance.

Article 14   Duration, termination and dissolution of the agreement

14.1. In the event that one party should be found guilty of a serious breach of the terms of these General Terms & Conditions, and in case that, within a period of thirty (30) days as of the day following the date the other party has issued a notice of default to the defaulting party by registered letter, the latter party has neglected to duly comply with the terms of the present General Terms & Conditions as demanded, the other party shall be entitled to dissolve the concurrent Assignments in progress, and this de iure and in good right and without the need for yet another notice of default, without becoming liable for payment of any term of cancellation or cancellation indemnity, and this without prejudice to the said party’s future right to claim indemnity for losses and damage suffered. Amongst instances of serious defaults that would entitle 4P square to immediately terminate the general terms and conditions and the current Assignments in progress are the non-payment by their due date of two outstanding invoice amounts owed by the Client. The period between the invoice date and the due date in the sense of Article 7.1 shall, in deviation from Article 14.1, be considered as remediation period. In the event of dissolution for reason of serious default on the part of the Client, the latter shall, contrary to the provisions in Article 12, be denied any rights to the creations that 4P square delivered in execution of its Assignments, and he shall be obliged to return all of the materials he has received from 4P square, in whatever shape or form, inclusive of copies and preliminary materials, or offer evident and conclusive proof of their destruction.

14.2. Parties shall be entitled to consider these General Terms & Conditions dissolved in good right and de iure and without need for a notice of default in the event that one of the following occurs: (a) the other party ceases its business activities or a part thereof, or threatens to do so, proceeds to liquidation or declares bankruptcy, requests one of its creditors for delay of payment; and, likewise, whenever the insolvency of the other party becomes public knowledge; (b) the other party divests itself of a substantial part of its assets or equity.

Article 15   Confidentiality

15.1.  The Parties commit themselves to strict confidentiality concerning each confidential information of which they get knowledge as a result of the implementation of the Assignment or within the framework of their cooperation. They do not will nor the existence of neither this agreement nor the contents announce to third parties. This agreement applies without time determination. Each party may communicate this confidential information only to its own employees or collaborators for the purpose of executing these general terms & conditions and on condition that she shall impose the same confidentiality obligation on such individuals.

Article 16   Privacy

16.1.  To the extent that personal data must be processed during the performance of the Services, the Client is considered to be the controller accordance with the Belgian law of 8 December 1992 concerning the processing of personal data and in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (hereinafter referred to as: “GDPR”.

16.2. Parties agree that 4P square will only carry out material processing operations and shall only process the concerned personal data on the basis of written instructions from the Client. 4P square therefore qualifies as a processor of personal data. In any case shall 4P square only use the personal data for the purposes for which they are processed. In any event, both Parties formally and explicitly undertake to comply with the provisions of the Belgian law of 8 December 1992 and the GDPR.

16.3. To the extent that the Services of 4P square, in execution of the Master Agreement, are performed outside the Client’s premises or – regarding digital surroundings, on platforms that are not under the control of the Client, 4P square shall take appropriate technical and organizational measures to protect the concerned personal data against accidental or unauthorized destruction, against accidental loss as well as against any other unauthorized processing of personal data. In the event of loss and/or destruction of the personal data, 4P square will immediately inform the Client of the case and assist the Client in ensuring compliance with the obligations of the GDPR, taking into account the nature of processing and the information available to 4P square.

Article 17   Applicable law and settlement of disputes

17.1.  These General Terms & Conditions shall be governed exclusively by, and needs to be interpreted according to, the laws of the Kingdom of Belgium.

17.2. Every dispute arising from the validity, the interpretation, or the implementation of these General

17.3. Terms & Conditions shall be heard and entertained exclusively and definitively by the courts and tribunals of Antwerp.

ALGEMENE VOORWAARDEN 4P SQUARE d.d. 24/05/2018 – Nederlandstalige versie

Artikel 1  Definities

1.1. In deze Algemene Voorwaarden hebben de volgende termen en begrippen, wanneer met een hoofdletter gebruikt, de hiernavolgende betekenis, tenzij uitdrukkelijk anders is aangegeven:

(a)        Diensten/Dienstverlening: de door 4P square leverbare diensten die kunnen bestaan in opdrachten op het vlak van bedrijfsstrategie, marketing, verkoop, business development, management van klanten en innovatie en dit zowel in een strategische, uitvoerende als leidinggevende functie, alsmede in elke andere dienstverlening waartoe 4P square zou beslissen deze aan haar Klanten aan te bieden;

(b)        Opdracht: de specifieke opdracht door de Klant aan 4P square gegeven tot levering van bepaalde Diensten, alsmede het geschrift dat de bijzondere voorwaarden van een opdracht bepaalt;

(c)        Algemene Voorwaarden: deze voorwaarden, inclusief alle eventuele toekomstige addenda of wijzigingen;

(d)        Werkdag: betekent maandag tot vrijdag, uitgezonderd Belgische wettelijke feestdagen;

(e)        Werkuren: betekent de werkuren die door de Klant standaard gehanteerd worden op Werkdagen of bij gebreke daaraan, de uren van 09:00 tot 13:00 en van 14:00 tot 18:00 uur CET op Werkdagen;

(f)        4P square: met 4P square wordt bedoeld het bedrijf 4P square Corporate NV nog op te richten dochterondernemingen.

Artikel 2  Algemeen

2.1. Huidige Algemene Voorwaarden regelen de voorwaarden en modaliteiten van de levering van Diensten door 4P square aan de Klant. Zij primeren op de algemene en bijzondere voorwaarden van de Klant, op welk document ook vermeld.

2.2. Elke Opdracht wordt schriftelijk vastgelegd en door beide Partijen voor de aanvang van de Opdracht ondertekend. In voorkomend geval maakt zij deel uit van een raamovereenkomst met de Klant. Opdrachten blijven tot hun volledige beëindiging onderworpen aan de bepalingen van huidige Algemene Voorwaarden. Ingeval van tegenstrijdigheid tussen de bijzondere bepalingen van een Opdracht of van een raamovereenkomst en deze Algemene Voorwaarden primeren de bijzondere bepalingen van de Opdracht en van de raamovereenkomst. Ingeval van tegenstrijdigheid tussen de bijzondere bepalingen van een Opdracht en de raamovereenkomst primeren de bijzondere bepalingen van de Opdracht.

Artikel 3  Duurtijd van opdrachten

3.1. Een Opdracht wordt voor bepaalde of onbepaalde duur aangegaan, zoals wordt overeengekomen met de Klant. 4P square zal zich redelijkerwijze inspannen om de in voorkomend geval vooropgestelde termijnen en data te respecteren. Opdrachten van onbepaalde duur kunnen door beide Partijen worden beëindigd met eerbiediging van een vooropzeg van één (1) maand en middels aangetekend schrijven.

3.2. Alle door 4P square genoemde termijnen zijn vastgesteld op grond van de gegevens die bij het aanvaarden van de betrokken Opdracht aan 4P square bekend zijn en zijn in die zin indicatief. 4P square is niet gebonden aan de termijnen die vanwege omstandigheden, die zich na het aanvaarden van de Opdracht hebben voorgedaan, niet meer kunnen worden gerespecteerd. 4P square kan in het bijzonder niet aansprakelijk worden gesteld voor laattijdige oplevering ten gevolge van een doen of nalaten van de Klant.

3.3. Indien overschrijding van de ingeschatte termijn zal plaatsvinden, zal 4P square de Klant hiervan zo spoedig mogelijk op de hoogte stellen en samen met de Klant beslissen welke acties moeten ondernomen worden.

Artikel 4  Verlenging en uitbreiding van opdrachten

4.1. Opdrachten kunnen geheel of gedeeltelijk verlengd of uitgebreid worden in gezamenlijk overleg tussen Partijen. Deze verlenging of uitbreiding zal het voorwerp uitmaken van een addendum bij de betrokken Opdracht. Is de uitbreiding dermate dat zij een Opdracht op zich uitmaakt, dan zal zij het voorwerp uitmaken van een aparte Opdracht.

4.2. De Klant zal haar intentie om de Opdracht te verlengen of uit te breiden bekendmaken door middel van een schriftelijke kennisgeving gericht aan 4P square, ten laatste één (1) maand voor de (ingeschatte) einddatum van de Opdracht, zoniet kan 4P square geen continuïteit garanderen. In ieder geval kan 4P square niet garanderen dat dezelfde consultant(en) zal/zullen instaan voor de uitvoering van de verlengde of uitgebreide Opdracht.

4.3. Tenzij anders bepaald in de betrokken addenda, zullen tijdens de verlenging of uitbreiding dezelfde voorwaarden en modaliteiten gelden als deze die golden voor de oorspronkelijke Opdracht.

Artikel 5  Voortijdige stopzetting van opdrachten

5.1. Onverminderd hetgeen is bepaald in Artikel 14 dient voortijdige stopzetting van een Opdracht te gebeuren met eerbiediging van een opzegperiode van één (1) maand en middels aangetekend schrijven. In ieder geval moeten de geleverde Diensten integraal worden betaald door de Klant, alsmede dient 4P square te worden vergoed voor gederfde winst en de extra onkosten. Deze schadevergoeding wordt forfaitair geraamd op vijftig procent (50%) van de vergoeding die nog had moeten worden betaald door de Klant indien de Opdracht niet voortijdig was stopgezet.

Artikel 6  Vergoeding van diensten

6.1. De vergoedingen van de Opdrachten in het kader van deze Algemene Voorwaarden en de wijze van vaststelling worden schriftelijk vastgelegd. De Klant verbindt zich er onvoorwaardelijk toe om de vergoedingen te betalen op de data zoals voorzien in de betrokken Opdracht. Tijdige betaling is een essentiële voorwaarde van deze Algemene Voorwaarden. De op dat ogenblik gehanteerde dag- of uurtarieven zullen in de Opdracht worden gespecificeerd.

6.2. Voor vergoedingen die uitgedrukt worden in een dagvergoeding, staat een dag gelijk aan acht (8) Werkuren.

6.3. Indien voor de uitvoering van de Opdracht noodzakelijke gegevens niet, niet tijdig of niet overeenkomstig de afspraken ter beschikking van 4P square staan, indien de Klant verkeerde instructies geeft of indien de Klant op andere wijze niet aan zijn verplichtingen voldoet, kan dit tot de opschorting van de uitvoering van de Opdracht aanleiding geven. Tevens kunnen extra uren, dagen of kosten volgens de gebruikelijke commerciële voorwaarden en tarieven van 4P square, zoals vermeld in de betrokken Opdracht, in rekening worden gebracht, ook boven de overeengekomen vaste prijs.

6.4. De vergoeding voor prestaties die niet voorzien zijn of niet begrepen in de overeengekomen prijs van de Dienstverlening, zullen berekend worden op basis van de dan geldende commerciële voorwaarden en tarieven.

6.5. Woon-Klant verkeer is inbegrepen in de dagvergoeding, tenzij anders overeengekomen in de betrokken Opdracht. Andere reis- en verblijfkosten gemaakt in uitvoering van de Opdracht worden aan kostprijs doorgerekend. Voor verplaatsingen met de eigen wagen wordt de kilometervergoeding in de betrokken Opdracht vastgelegd.

6.6. In principe worden te maken kosten voorafgaandelijk ter goedkeuring aan de Klant voorgelegd, tenzij deze voorafgaandelijke goedkeuring niet gevraagd kan worden of redelijkerwijze beschouwd kan worden niet noodzakelijk te zijn gezien het geringe bedrag van de kost. In ieder geval zal de consultant gedetailleerde kostenstaten bijhouden ter verantwoording van alle gemaakte kosten, voorafgaandelijk goedgekeurd of niet.

6.7. Alle vermelde vergoedingen zijn exclusief BTW en gelijkgestelde taksen. Deze zijn ten laste van de Klant.

Artikel 7   Facturatie

7.1. De Diensten worden maandelijks gefactureerd. Alle facturen dienen netto contant betaald te worden, tenzij anders overeengekomen. De betaling zal plaatsvinden zonder aftrek, compensatie of opschorting om welke reden dan ook, tenzij anders vermeld op de factuur.

7.2. Indien de Klant de verschuldigde bedragen niet binnen de overeengekomen termijn betaalt, zal de Klant, van rechtswege en zonder dat enige ingebrekestelling nodig is, over het openstaande bedrag inclusief BTW, een interest van tien procent (10%) op jaarbasis verschuldigd zijn. Blijft de Klant acht (8) dagen na een ingebrekestelling nalatig om de vordering te voldoen, zal hij rechtswege een forfaitair en conventioneel vastgestelde schadevergoeding wegens wanbetaling verschuldigd zijn, ten bedrage van tien procent (10%) van het totaal verschuldigde bedrag van de betreffende factuur, inclusief BTW, met een minimum van € 125. In geval van buitengerechtelijke invordering is de Klant gehouden tot betaling van de invorderingskosten, die worden vastgesteld op vijftien procent (15%) van het totale bedrag van de Opdracht. De Klant zal gehouden zijn tot betaling van alle gerechtskosten die door 4P square moeten worden gemaakt om in geval van nalatige betaling het verschuldigde in te vorderen.

7.3. 4P square behoudt zich het recht voor haar Dienstverlening op te schorten zolang een betaling niet is geschied en om de niet-betaling van twee verschuldigde bedragen te beschouwen als een ernstige wanprestatie in de zin van Artikel 14.1.

Artikel 8 Personeel

8.1. 4P square zal de bekwaamheden beoordelen die vereist zijn voor de doelstellingen van de betrokken Opdracht en – in samenspraak met de Klant – het personeel aanduiden dat als consultant met de uitvoering van de Opdracht wordt belast.

8.2. De Dienstverlening kan geheel of gedeeltelijk door personeel van 4P square en van haar eventuele verbonden ondernemingen worden uitgevoerd of in onderaanneming worden gegeven aan zelfstandige consultanten door 4P square gekozen in samenspraak met de Klant. Elke verwijzing naar personeel van 4P square, heeft ook betrekking op het personeel van aan 4P square gelieerde ondernemingen en op zelfstandige consultanten.

8.3. Naargelang de (technische) karakteristieken van de Dienstverlening en de toepasbare arbeidsreglementen zullen de partijen overeenkomen omtrent alle nodige praktische bepalingen, zoals, doch niet beperkt tot, prestatieperiodes van hun personeel of voorziene afwezigheid wegens verlof of beroepsopleiding. In dat verband kan, in geval er Diensten uitgevoerd worden in de kantoren van de Klant, deze laatste het personeel van 4P square de nodige instructies geven met betrekking tot het welzijn op het werk, veiligheids- en andere relevante procedures, zoals, maar niet beperkt tot richtlijnen aangaande de toegang tot de vestiging van de Klant alsook met betrekking tot de toegang tot en het gebruik van de documentatie nodig voor de uitoefening van de Diensten, de arbeids- en rusttijden en de uitvoering van het overeengekomen werk. De consultant(en) van 4P square staat(n) echter geenszins onder het gezag, leiding of toezicht van de Klant.  Indien vereist zullen de praktische afspraken terzake vermeld worden in de bijzondere Voorwaarden van de betrokken Opdracht.

8.4. Elke Partij zal in ieder geval verantwoordelijk zijn voor het toezicht, de leiding en het werkschema van haar eigen personeel en voor elke verbintenis met betrekking tot de arbeidsovereenkomst met haar personeel.

8.5. In geval de Klant van mening is dat één van de aangeduide consultanten niet voldoet, zal hij 4P square daarover onverwijld schriftelijk in kennis stellen met omstandige omschrijving van de redenen.  4P square zal onmiddellijk trachten aan de redelijke klachten te verhelpen. Bij een tweede gemotiveerde ingebrekestelling, gedaan met een tussenperiode van minstens twee (2) weken die als gerechtvaardigd kan worden beschouwd, zal 4P square alles in het werk stellen om haar consultant(en) zo vlug mogelijk te vervangen door andere consultant(en) met gelijkaardige bekwaamheden.

Artikel 9 Verbod van afwerving

9.1. Partijen verbinden zich ertoe, rechtstreeks, noch onrechtstreeks over te gaan tot aanwerving of tot aanduiding als contractant van om het even welke medewerker (in de meest ruime zin) van de andere Partij, zelfs wanneer het initiatief uitgaat van de betrokken medewerker, behoudens voorafgaande schriftelijke toestemming van de andere Partij met betrekking tot een bepaalde medewerker. Partijen verbinden er zich tevens toe niet tussen te komen, op welke wijze ook, in de relatie tussen de andere Partij en diens medewerkers. Dit beding geldt gedurende de hele looptijd van de Opdracht, alsmede gedurende de vierentwintig (24) maanden na beëindiging ervan of in het geval een consultant aan de Klant werd voorgesteld zonder opdracht tot gevolg, gedurende de vierentwintig (24) maanden nadat de consultant werd voorgesteld.

9.2. Onderhavig verbod geldt niet alleen voor de Partijen maar tevens voor de (andere) (rechts)personen – waarvoor Partijen zich sterk maken – die rechtstreeks of onrechtstreeks verbonden zijn met hen.

9.3. In geval één der Partijen deze verplichting niet nakomt of laat nakomen, zal zij de andere Partij als volgt vergoeden:

(a)        Voor de wervings-, selectie- en opleidingskosten door een forfaitair bedrag aan de andere Partij te betalen gelijk aan een forfaitair bedrag van 30.000 euro.

(b)        Daarbovenop, voor de commerciële schade van 4P square, indien de aanwerving of aanduiding als contractant tijdens de Opdracht gebeurt, een schadevergoeding die forfaitair geraamd wordt op vijftig procent (50%) van het resterend en nog niet gefactureerde gedeelte van de vergoeding voor de Opdracht.

Artikel 10  Bestellingen bij derden

Indien in het kader van een Opdracht 4P square op verzoek en/of met het voorafgaandelijk akkoord van de Klant, producten of diensten van derden moet afnemen, andere dan de diensten van de zelfstandige consultanten van 4P square (die conform Artikel 8 als personeel van 4P square worden beschouwd), dan zullen deze bestellingen in naam en voor rekening van de Klant geplaatst worden en 4P square op generlei wijze verbinden. Alle betalingen moeten dan ook rechtstreeks door de Klant gebeuren zodat van 4P square geen (pre)financiering mag worden verwacht, tenzij met haar uitdrukkelijke instemming en mits betaling door de Klant van een mark up van 15% aan 4P square.

Artikel 11  Verantwoordelijkheid

11.1. 4P square zal de Diensten met betrekking tot de Opdracht uitvoeren naar beste kennis en vermogen, op professionele wijze en volgens de regels van de kunst, en rekening houdend met de toepasselijke reglementen en voorschriften terzake. 4P square en de Klant komen uitdrukkelijk overeen dat de verbintenis die 4P square op zich neemt een middelenverbintenis is en geen resultaatverbintenis. 4P square kan niet garanderen dat beslissingen die door de Klant werden genomen op basis van de door 4P square geleverde adviezen het ingeschatte of gewenste effect hebben.

11.2. 4P square verklaart te voldoen aan haar verplichtingen inzake RSZ, BTW en belastingen.  Verder verklaart 4P square een wettelijke verzekering tegen arbeidsongevallen, evenals een burgerlijke aansprakelijkheidsverzekering te hebben afgesloten.  Op verzoek van de Klant kan een attest van de bevoegde instanties voorgelegd worden.

11.3. 4P square zal haar Diensten in nauwe samenwerking en overleg met de Klant leveren en zal de Klant informeren over al diens activiteiten en ervaringen die verband houden met een Opdracht. Omgekeerd verwacht 4P square van de Klant volledig en juist op de hoogte te worden gehouden over alle ontwikkelingen en gegevens die nuttig of betekenisvol zouden kunnen zijn ter uitvoering van de Opdrachten en 4P square haar volle medewerking te verlenen bij het uitvoeren ervan.

11.4. Behalve in geval van opzet of zware fout, kan 4P square niet aansprakelijk gesteld worden voor schade die het rechtstreeks of onrechtstreeks gevolg is van de uitvoering van een Opdracht.  4P square, haar personeel en zelfstandige consultanten, medewerkers of onderaannemers zijn evenwel verzekerd voor beroepsaansprakelijkheid tot 500.000 euro per vordering en per jaar.  In ieder geval zal de schade van 4P square beperkt zijn tot het bedrag van de vergoeding die 4P square ontving voor de betrokken Opdracht.

Artikel 12  Toekenning van (intellectuele) rechten

12.1. Onverminderd hetgeen is bepaald in Artikel 14.1., kent 4P square de Klant het eigendomsrecht en – in zoverre 4P square in het kader van de uitvoering van een Opdracht creaties tot stand brengt die door enig haar toekomend recht van intellectuele eigendom worden beschermd – het intellectueel recht toe op hetgeen 4P square in uitvoering van een Opdracht in definitieve vorm aflevert of realiseert.

12.2. De Klant zal aldus gerechtigd zijn om het door 4P square in uitvoering van de Opdracht in definitieve vorm afgeleverde te gebruiken, te kopiëren, te herverzenden, verdelen, verspreiden, verkopen, publiceren, uitzenden of laten circuleren, voor interne, zowel als voor externe (commerciële reclame, merchandising) doeleinden, op om het even welke wijze en om het even welke vorm.

12.3. 4P square doet afstand van het recht op integriteit en het recht om zich te verzetten tegen aanpassingen, in zoverre dergelijke aanpassingen geen afbreuk doen aan de eer en goede naam van 4P square.

12.4. Ter vermijding van twijfel, wordt op geen enkele wijze enig recht toegekend op namen, logo’s, handelsmerken en dienstenmerken van 4P square die op het afgeleverde zijn aangebracht. Evenmin wordt enig recht toegekend op eigen modellen waarvan 4P square in het kader van de uitvoering van een Opdracht gebruik maakt doch die zij niet specifiek in het kader van deze Opdracht heeft ontwikkeld. Derhalve zal 4P square dergelijke modellen op om het even welke wijze en om het even welke vorm verder kunnen aanwenden.

Artikel 13   Geen exclusiviteit

De toekenning van de rechten in de zin van Artikel 12 beperkt op geen enkele wijze de mogelijkheid voor 4P square om gelijkaardige opdrachten te aanvaarden, zelfs voor met de Klant concurrerende bedrijven. 4P square kent dan ook op geen enkele wijze enige vorm van exclusiviteit toe aan de Klant. In voorkomend geval zal 4P square er echter alles aan doen om de vertrouwelijkheid van alle informatie te garanderen.

Artikel 14  Beëindiging en verbreking

14.1. Indien een Partij een ernstige wanprestatie pleegt en indien binnen een periode van dertig (30) dagen, een aanvang nemend de dag nadat de andere Partij de in gebreke blijvende Partij bij aangetekend schrijven in gebreke heeft gesteld, deze alsnog niet voor een juiste nakoming van onderhavige Algemene Voorwaarden zorg draagt, zal de andere Partij de lopende Opdrachten van rechtswege en zonder nieuwe ingebrekestelling kunnen ontbinden, zonder tot inachtneming van enige opzegtermijn of opzegvergoeding gehouden te zijn en dit onverminderd het recht een schadevergoeding te eisen als herstelling van de geleden schade.

Wordt o.m. geacht een ernstige wanprestatie te zijn die 4P square het recht geeft om de lopende Opdrachten onmiddellijk te beëindigen, de niet-betaling op hun vervaldag van twee verschuldigde bedragen door de Klant.  De periode tussen factuurdatum en vervaldatum in de zin van Artikel 8.1. wordt, in afwijking van Artikel 14.1. als remediëringsperiode voorzien.

In geval van ontbinding wegens ernstige wanprestatie in hoofde van de Klant, zal deze, in tegenstelling tot hetgeen bepaald is in Artikel 12, geen enkel recht verkrijgen op het door 4P square in uitvoering van diens Opdrachten afgeleverde, en gehouden zijn tot teruggave van al hetgeen hij heeft ontvangen, in welke vorm ook, van 4P square, inclusief kopijen en voorbereidend materiaal, of afdoend bewijs verstrekken van hun vernietiging.

14.2. Partijen zullen het recht hebben een Opdracht als van rechtswege en zonder ingebrekestelling ontbonden te beschouwen indien één van de volgende gevallen zich voordoet:

(a)        de andere Partij zet zijn bedrijfsactiviteit of een deel ervan stop of dreigt dit te doen, gaat in vereffening of in staat van faillissement, verzoekt één van zijn schuldeisers om uitstel van betaling; alsook indien de insolventie van de andere Partij algemeen bekend zou zijn;

(b)        de andere Partij doet afstand van een substantieel deel van zijn activa of vermogen.

Artikel 15  Confidentialiteit

15.1. De partijen verbinden zich tot een strikte geheimhouding in verband met elke vertrouwelijke informatie waarvan zij naar aanleiding van de uitvoering van de Opdrachten of in het kader van hun samenwerking kennis krijgen. Zij zullen noch het bestaan van deze overeenkomst noch de inhoud ervan aan derden kenbaar maken. Deze verbintenis geldt zonder tijdsbepaling. Elke Partij kan enkel deze vertrouwelijke informatie aan haar werknemers of medewerkers meedelen met het oog op het uitvoeren van de Opdrachten en onder de voorwaarde dat zij deze personen dezelfde confidentialiteitsverbintenis opleggen.

Artikel 16  Privacy

16.1. In de mate dat bij de uitoefening van de Diensten persoonsgegevens verwerkt moeten worden, wordt de Klant beschouwd als verantwoordelijke voor de verwerking overeenkomstig de wet van 8 december 1992 betreffende de verwerking van persoonsgegevens en overeenkomstig de Verordening (EU) 2016/679 van het Europees Parlement en de Raad van 27 april 2016 betreffende de bescherming van natuurlijke personen in verband met de verwerking van persoonsgegevens en betreffende het vrij verkeer van die gegevens en tot intrekking van Richtlijn 95/46/EG (hierna: “AVG”).

16.2. Partijen komen overeen dat 4P square slechts materiële handelingen van verwerking uitvoert en de betrokken persoonsgegevens uitsluitend verwerkt op basis van schriftelijke instructies van de Klant. 4P Square kwalificeert daarbij als verwerker van persoonsgegevens.  In ieder geval zal 4P square de persoonsgegevens uitsluitend aanwenden voor het doel waarvoor ze ter beschikking wordt gesteld. Beide Partijen verbinden er zich in ieder geval principieel en uitdrukkelijk toe om de bepalingen van de wet van 8 december 1992 en de AVG na te leven.

16.3. In de mate dat de Diensten van 4P square, in uitvoering van de Opdracht, worden verleend buiten de vestiging van de Klant, of – wat betreft de digitale omgeving – anders dan op platformen die onder het toezicht staan van de Klant, zal 4P square passende technische en organisatorische maatregelen nemen om de betrokken persoonsgegevens te beschermen tegen toevallige of ongeoorloofde vernietiging, tegen toevallig verlies evenals tegen iedere andere niet toegelaten verwerking van persoonsgegevens. In geval van verlies en/of vernietiging van de persoonsgegevens, stelt 4P square de Klant hiervan onmiddellijk in kennis en verleent 4P square de Klant alle bijstand aan de Klant bij het doen nakomen van de verplichtingen uit hoofde van de vigerende privacy regelgeving, rekening houdende met de aard van de verwerking en de haar ter beschikking staande informatie.

Artikel 17   Toepasselijk recht en geschillenbeslechting:

17.1. Deze Algemene Voorwaarden worden exclusief beheerst en moet geïnterpreteerd worden overeenkomstig het recht van het Koninkrijk België.

17.2. Elk geschil betreffende de geldigheid, de uitlegging of de uitvoering van deze Algemene Voorwaarden zal definitief worden beslecht door de rechtbanken en hoven van Antwerpen.
